HOSTING SERVICES AGREEMENT

This is an agreement between you and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat (“Batelco Jordan” or “BJ” or “we”). Please read these BJ service “HOSTING SEVICES” Terms of Use, in addition to the Privacy Policy, Website Conditions of Use, and the other applicable rules, policies, and terms available at BJ’s website, or on or through BJ’s Application (collectively, this “Agreement”) before using the BJ Services. By using BJ Services, you agree to be bound by the Terms of this Agreement:

1. DEFINITIONS

  • I. HOSTING SERVICE:

    One of the hosting Services provided by this term.

  • II. HOSTING SERVICES:

    Two or more of the hosting Services provided by this term.

  • III. VIRTUAL PRIVATE SERVER (VPS) SERVICE:

    The Service in which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalatwill provide your part of its super server to be a virtual server to host its files, provided that the virtual server can run with own full-fledged operating system, and can be independently rebooted.

  • IV. STREAMING SERVICE:

    The Service in which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide the streaming as a media technology to enable the real time or on demand distribution of audio, video and multimedia on the Internet using the FIRST PARTY server and applications and received as a continuous real-time stream.

  • V. WEBSITE HOSTING SERVICE:

    The Service in which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide the amount of disk space on a shared web server and allow you to host its files (website), where files can be uploaded via File Transfer Protocol (FTP) or a Web interface provided by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat. This space to makes your website accessible via the World Wide Web and the hosting at Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat shared servers.

  • VI. DOMAIN NAME REGISTRATION AND HOSTING SERVICE:

    The Service in which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide the identification label that defines control in the Internet and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will host its zone file.

    In addition to this definition, you will be bound by the terms and conditions of the registry responsible for providing the domain names:

    • i. Global domain names: including without limitation (.com, .net, .org, .biz, .info, .name and .pro.) you acknowledges that it has read, understood and agrees to be bound by all terms and conditions of ICANN's Uniform Domain Name Dispute Resolution Policy (the "UDRP"), as amended from time to time, which is hereby incorporated and made a part of this Agreement by reference for all gTLD domain name registrations or renewals.
    • ii. Local domain names, including without limitation (.jo, .com.jo, .org.jo, .gov.jo, .net.jo, .edu.jo .mil.jo, .name.jo, sch.jo and .الاردن.) you acknowledges that he has read, understood and agrees to be bound by all terms and conditions of NITC’s Jordan National Information Technology Centre, as amended from time to time, which is hereby incorporated and made a part of this Agreement by reference for all registration policy domain name registrations or renewals.

  • VII. DOMAIN NAME SYSTEM (DNS) ZONE:

    A DNS zone is a portion of global Domain Name System (DNS) namespace, which contains the DNS Records for this Domain.

  • VIII. REDEMPTION GRACE PERIOD (RGP):

    It is the period after domain expired, during this period the domain name can be restored but the fee is higher than the renewal fee and it will determine by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat.

  • IX. EMAILS HOSTING SERVICE:

    The Service in which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide you with ability to send/receive electronic mail anywhere in the world using the internet and it gives them ability to use their domain name in email addresses via webmail or pop3 interface, also spam protection and maintain the security issues by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat.

2. GENERAL TERMS

  • A. RATES & CHARGES

    You agrees to pay all applicable charges for the Hosting Service and/or Services as provided in the attached Annex One and made part and parcel of this Agreement. In the vent, that any change to applicable tax or governmental charge should accrue prices and charges in attached Annex One shall change accordingly. And Charges will be in Jordanian Dinars.

  • B. PAYMENTS

    You agrees to pay the requested amounts as per Annex One of this Agreement.

  • C. TERMINATION

    - The Parties commitments, duties and obligations disclosed herein shall be binding upon signing this Agreement (the "Effective Date"), while the Service and/or Services term is for [1 Year] and begins when Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat has fully installed and tested the Service and /or Services is available for use (the "Service Date"), The term of the Agreement shall continue and be automatically renewed for an additional one year term under the same terms and conditions , unless either Party gives the other Party written notice of its intention to terminate this Agreement at least thirty (30) days prior to the termination date.

    - Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may suspend or terminate Service and/or Services if you commits a material breach of this Agreement and fails to remedy such breach within thirty days of notice; provided that Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may terminate immediately without notice in order to maintain system integrity or to comply with any law, regulation, court order, or other governmental request, or otherwise to protect Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat from liability. Such termination shall not prejudice Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's right to receive full payment of the Agreement value of the Service and/or Services.

    - Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may terminate this Agreement immediately without notice in the event that you uses the Service and/or Services for commercial purposes without Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's prior written authorization. Such termination shall not prejudice Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's right to receive full payment of the Agreement value of the Service and/or Services.

    - You may terminate this Agreement at any time after the Effective Date and Service and/or Services Date but in so doing shall not be entitled to recover any of the payments made to or payable to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat and shall respect and fulfill all outstanding payments to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat within payment period.

    - Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may terminate this Agreement immediately without notice in the event that you abuse the Service or up normal activities.

    - In the event that Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is unable to take payments for any reason, the Service and/or Services will not be renewed and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will have the right to terminate the agreement and stop the Service and/or Services, in addition, you will have no eligibility to take any content or application hosted in Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat environment.

    - Domains registered through "cloud.umniah.com" cannot and will not be transferred to any external party unless the customer complete a year subscription in the service.

3. RIGHTS AND OBLIGATIONS OF Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat, DISCLAIMER OF WARRANTIES

Reference to the above identified Service and/or Services provided by Term 1 “Definitions”, Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat shall do the following general Obligations:

  • i. You understands that the Internet is not owned, operated or managed by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat, and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat does not control content on the Internet in any way shape or form.
  • ii. The Service and/or Services are provided on an “as is/are” and “ as available” basis without warranties of any kind, either expressed or implied, including but not limited to warranties of title, non-infringement or implied warranties of merchantability or fitness for a particular purpose. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat does not warrant that the Service and/or Services will be uninterrupted; error free or secure, or that information, software or other material accessible on the Service and/or Services is/are free of viruses or other harmful component. No advice or information given by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's employees, agents or contractors shall create a warranty. Under no circumstances shall Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat be liable for any direct, indirect, incidental, special, punitive or consequential damages that result from your use of or inability to access any part of the Internet, or your reliance on or use of information, services or merchandise provided on or through the Service and/or Services, or that result from mistakes, omissions, interruptions, deletion of files, errors, defects, delays in operation, or transmission, or any failure of performance.
  • iii. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat shall not be liable for failure to perform or delay in performance of any of its obligations hereunder, if such failures or delays are due to infrastructure related problems inside or outside Jordan, (excluding those related to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat equipment), strikes, compliance with applicable law, inclement weather, acts of God or any other factor beyond its reasonable control, foreseeable or unforeseeable.
  • iv. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat undertakes, with reasonable limitations, to perform all activities as deemed necessary, to ensure the continuous and high quality of Service and/or Services.
  • v. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat reserves the right to refuse to post or to remove any information or materials, in whole or in part, that in its sole discretion are unacceptable, undesirable or in violation of this Agreement.

Provided to the General rights and obligations mentioned in Article (3) Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat shall do the extra obligation described in Annex Two for each kind of Services identified in Article 1 of this Agreement.

4. YOUR RIGHTS AND OBLIGATIONS

Reference to the above identified Service and/or Services provided by Term 1 “Definitions”, you shall do the following general Obligations:

  • i. You shall not use the Service and/or Service or permit any use of the Service and/or Service which is illegal, unlawful, or harassing, which infringes another's intellectual property rights or which otherwise constitutes network abuse, and you shall be responsible for any such abuse or misuse of the Service and/or Services.
  • ii. You shall work with Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat to establish mutually agreed performance objectives and operational procedures to enable the highest practical quality of Service and/or Service to be provided here under.

Provided to the General rights and obligations mentioned in Article (4) you shall do the extra obligation described in Annex Two for each kind of Services identified in Article 1 of this Agreement.

5. SOFTWARE

Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is not responsible for the installation, maintenance, and compatibility or performance of any software not provided by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat, and you shall indemnify Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat and its affiliates against any infringement claims raiding out of the use of such third party software with the Service and/or Service. If such third party software impairs the Service and/or Service, you remains liable for payment, and if such third party software is likely to cause hazard or Service and/or Service obstruction, you shall eliminate such likelihood at Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's request.

6. NOTICE

All notices or other communications required or permitted hereunder shall be in writing, delivered personally or by fax, telex, or registered mail at the respective registered addresses specified in this Agreement.

7. CONFIDENTIALITY

All information which is exchanged between the parties under this Agreement or during the negotiations, shall be and remain confidential and shall not be disclosed to any third party or used for purposes other than to execute this Agreement.

8. MISCELLANEOUS

  • i. Neither Party may use the other's name, trademark, trade names or other proprietary identifying symbols without the prior written approval of the other party.
  • ii. You may not assign any of its rights and obligations to another party without first obtaining Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's prior written consent.
  • iii. Any disputes arising between the Parties regarding the implementation or interpretation of this Agreement, the parties hereto shall attempt, in good faith, to reach a mutual Agreed solution. Otherwise, either party may resort to the TRC and or sequentially the Courts of Amman-Jordan.

In witness thereof, the Parties hereto have caused this agreement to be executed by their representatives duly authorized and signed in duplicate, one copy of which shall be held by each party.

ANNEX ONE

Services or/and Service Details

Payment Terms:

Upon signing the Agreement the SECOND PARTY shall pay to the FIRST PARTY the amount of the Agreement as follows:

  • 1. 100% upon signing the Agreement
  • 2. The years after the charges are payable 100% at the beginning of each year of each kind of Services identified this Annex in the Agreement.
  • 3. All charges are in Jordanian Dinars.
  • 4. All Charges are subject (if applicable) to 16% sales tax.
  • 5. Delivery will be within 2-4 week after the date of signing this Agreement.

ANNEX TWO

VIRTUAL PRIVATE SERVER SERVICE

RIGHTS AND OBLIGATIONS OF Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat

  • i. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide the server bandwidth through its Internet gateway according to the bandwidth speed in Annex One.
  • ii. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide virtual CPU, RAM and storage capacity through its virtual hosting environment according to the specification in Annex One, and this virtual environment is owned by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat and you will have permission to access it only through Remote Desktop Protocol (RDP) or File Transfer Protocol (FTP).
  • iii. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will give you 24-hour access and one Static IP throughout the 7 days of the week using Remote Desktop Protocol (RDP) or File Transfer Protocol (FTP) to perform content uploads/downloads and access to the server.
  • iv. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will configure the operating system (Windows) policy for the first time only and will not interfere with the policy after server delivery.
  • v. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will responsible on rebooting the virtual server if requested by you.
  • vi. The backup is an added service, by default Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat doesn’t backup any file/folder on the SESOND PARTY virtual server, and its chartable services.
  • vii. The virtual firewall is an added service, by default Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat doesn’t give it to the SESOND PARTY’s virtual server, and its chartable services.
  • viii. The anti-virus is an added service, by default Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat doesn’t give it to the SESOND PARTY’s virtual server, and its chartable services. All security measures needed for uploading are the responsibility of you. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will reside Hosted server behind Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat’s firewall upon your request. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is not responsible for the failure of software provided by you.
  • ix. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat responsible on its data center monitors and its network for packet loss, latency and round-trip time inside the network, it proactively monitors network connectivity on a 24x7 basis and manage all connectivity up to the port of your server connected to the internet.
  • x. Occasionally, for operational reasons, Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may have to interrupt or suspend Service. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will restore the Service as quickly as possible.

YOUR RIGHTS AND OBLIGATIONS

  • i. It is your responsibility the security measures for uploading and downloading data.
  • ii. It is your responsibility to change the operating system (Windows) policies and any other application installed on virtual server.
  • iii. It is your responsibility the software and applications licenses.
  • iv. It is your responsibility files content, materials, pictures, videos and audio files hosted in Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat’s servers and its copyrights.

9. STREAMING SERVICE

RIGHTS AND OBLIGATIONS OF Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat

  • i. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will provide Bandwidth through its Internet gateway according to the bandwidth speed in Annex One.
  • ii. All security measures needed for uploading are your responsibility. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will reside Hosted server behind Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat’s firewall upon your request. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is not responsible for the failure of software provided by you.
  • iii. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat responsible on its data center monitors and its network for packet loss, latency and round-trip time inside the network, it proactively monitors network connectivity on a 24x7 basis and manage all connectivity up to the port of your server connected to the internet.
  • iv. Occasionally, for operational reasons, Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may have to interrupt or suspend Service. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will restore the Service as quickly as possible.

YOUR RIGHTS AND OBLIGATIONS

  • i. It is your responsibility the security measures for uploading and downloading data.
  • ii. It is your responsibility the software and applications licenses.
  • iii. It is your responsibility files content, materials, pictures, videos and audio files hosted in Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat’s servers and its copyrights.

10. WEBSITE HOSTING, DOMAIN NAME REGISTRATION & HOSTING AND EMAILS HOSTING SERVICES

RIGHTS AND OBLIGATIONS OF Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat

  • i. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will forward your requested domain name to the appropriate registry, which shall become effective only on acceptance and activation by the registry and on payment to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat of the appropriate charges. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat does not guarantee that a domain name can or will be accepted by the registry and is not responsible for any inaccuracies or errors in the domain name registration, renewal, or transferring process.
  • ii. In the event that Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is unable to take payment for any reason, the Service will not be renewed; and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will have the right to :

    - terminate the agreement;

    - forward the domain name to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat website;

    - disable the domain name and make the domain name available to a third party.

  • iii. You, subject to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat’s concent, will have the ability to redeem the domain name from the intended renewal date for a period of 60 days. Redemption of the domain name may be subject to payment of additional charges at Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's discretion in addition, you will have not eligibility to take any content or application hosted in the Service.
  • iv. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat accepts no liability for failure to place a domain name into redemption or to renew a domain name.
  • v. Upon request of a transfer of a domain name into Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat, Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will authenticate a renewal payment on this agreement until such time that the transfer to Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat is completed or cancelled. Transfer requests not completed in one week, it will be cancelled and Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat commits to refund the payment to you.
  • vi. All charges are non-refundable, in whole or in part, if Service and/or Services is/are either suspended, cancelled or transferred by Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat due to your breach of the Agreement, or if the domain name is transferred to another Service provider by you.
  • vii. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat reserves the right to change fees, surcharges, renewal fees or to institute new fees at any time, for any reason, at its sole discretion, without prior notice to you.
  • viii. Occasionally, for operational reasons, Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat may have to interrupt or suspend Service. Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat will restore the Service as quickly as possible.

Your RIGHTS AND OBLIGATIONS

  • i. You acknowledges and agrees that Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat shall 'transfer lock' the domain name to prevent unauthorized transfers. To unlock the domain name, you must contact Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat and it shall be in writing, delivered personally or by fax, telex, or registered mail at the respective registered addresses specified in this Agreement.
  • ii. You can not transfer the domain name to another domain name registrar within [1 year] of registration with Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat.
  • iii. If you renews the domain name after expiry date and before the Redemption Grace Period, the renewal date will be considered one year starting from the domain’s name expiry date not from the payment date.
  • iv. Refer to ICANN's policies mentioned on the website terms # 8: http://www.icann.org/en/dndr/udrp/policy.htm#4

    The expired domain cannot be transferred; and you should pay renewal fees to active and renew the domain in order to proceed in transferring the domain and it should be before the RGP period.

  • v. The Service must not be used:
    • - in any way that is unlawful or in contravention of any license;
    • - to cause annoyance, inconvenience or anxiety;
    • - to allow access to or use of any material which is offensive, abusive, indecent, defamatory, obscene or menacing
    • - in any way which Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat considers is or is likely to be detrimental to the provision of the Service to you or Service to any of Al-Sharikah Al-Bahraineyah Al Ordoneyah Lil Taqneyah wul Itisalat's other PARTYs
